- The Society shall be governed by an Executive Committee which shall be elected at the Annual General Meeting of the Society and which shall have full control over the affairs and property of the Society and shall be responsible for taking such steps for protecting and administering the same as may be deemed necessary to achieve the objects of the Society;
- In particular, the Executive Committee shall have an absolute discretion in the investment of the funds or property of the Society in such investments as it shall deem proper from time to time, whether such investments shall or shall not constitute Trustee Securities within the meaning of the Trustee Act 1925 or any other Act dealing therewith, and shall not be responsible collectively or individually for any loss which may be sustained as a result of the bona fide exercise of their discretion. Furthermore the said Executive Committee shall have the power to consider, decide and act upon any matter which is not specifically provided for in these rules, in such manner as shall seem to it to be in the best interests of the Society;
- Nominations for membership of the Executive Committee must be sent in writing to the Hon. Secretary to reach him/her two clear days before the Annual General Meeting. Such nominations much be proposed and seconded by members of the Society and have received the consent of the nominee;
- The Executive Committee shall consist of not more than five Honorary Officers of the Society, who shall include the Chairman, the Secretary and the the Treasurer, and a further four ordinary members.
- In addition, the Executive Members shall have the power to invite any appropriate person, inside or outside the Society, with a view to their being President of the Society to serve for a term of three years. Nominations for the role of President may be put forward by any full member of the Society. The appropriate person should be the majority choice of the Executive Committee and the appointment must the ratified by the Society at an Annual General Meeting. The President shall be appointed in a non-executive capacity, being entitled to attend Executive Committee meetings in an advisory capacity only, without the power to vote;
- The Honorary Officers and ordinary members shall serve for a term of three years and shall retire annually in rotation, but all shall be eligible for re-election at the Annual General Meeting. In the event of any member of the Executive Committee becoming unable through illness, resignation, or otherwise to act thereon, the Executive Committee shall have the right to appoint a substitute to act in such member’s place, and such substitute member may continue to act in all ways as a member of the Executive Committee until the next Annual General Meeting. In the election or re-election of members of the Executive Committee every subscribing member of the Society present at the Annual General meeting shall be entitled to vote;
- Five members of the Executive Committee shall constitute a quorum for the purpose of making decisions on its behalf and administering the affairs of the Society;
- All Officers and members of the Executive Committee or sub-committees appointed thereby must be subscribing members of the Society.
The Executive Committee may appoint sub-committees from its own members solely, or partly from its own members and partly from the members of the Society generally for any special purpose. The Secretary shall be an ex-officio member of all such sub-committees which shall act only within the limitations laid down by the Executive Committee.
